UTAH LAKE SAUNA

TERMS OF SERVICE, LIABILITY WAIVER, AND ASSUMPTION OF RISK AGREEMENT

PLEASE READ THIS DOCUMENT CAREFULLY. THIS IS A LEGALLY BINDING CONTRACT THAT AFFECTS YOUR LEGAL RIGHTS. BY CLICKING "I AGREE," MAKING A BOOKING, OR USING ANY UTAH LAKE SAUNA SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND VOLUNTARILY AGREE TO BE LEGALLY BOUND BY ALL TERMS AND CONDITIONS CONTAINED HEREIN.

1. DEFINITIONS

1.1 "Utah Lake Sauna," "Company," "we," "us," or "our" refers to State Park Saunas LLC, a Utah limited liability company, doing business as Utah Lake Sauna, including but not limited to its owners, members, managers, operators, employees, contractors, agents, affiliates, subsidiaries, parent companies, successors, and assigns.

1.2 "Services" refers to the use of any and all sauna facilities, cold plunge facilities, changing rooms, shower facilities, equipment, amenities, premises, grounds, parking areas, or any related services provided by, operated by, or affiliated with Utah Lake Sauna, whether directly or through third parties.

1.3 "User," "Customer," "you," or "your" refers to any individual who uses, attempts to use, books, reserves, visits, enters, or is present at any Utah Lake Sauna facility or premises, or who engages with any Services in any capacity.

1.4 "Agreement" refers to this entire document, including all terms, conditions, waivers, releases, and acknowledgments contained herein.

1.5 "Allotted Time" means the exact duration specified during the booking process, which includes all time for preparation, use of facilities, changing, and vacating the premises.

1.6 "Premises" means any and all locations, facilities, structures, grounds, parking areas, walkways, and surrounding areas where Services are provided or accessed.

2. COMPREHENSIVE ACKNOWLEDGMENT OF RISKS

2.1 You acknowledge, understand, and expressly agree that the use of sauna facilities, cold plunge pools, contrast therapy, and related Services involves significant inherent risks, hazards, and dangers that cannot be eliminated regardless of the care taken by Utah Lake Sauna. These risks include, but are not limited to:

a)    Overheating, hyperthermia, dehydration, and heat exhaustion

b)    Hypothermia and cold-related injuries from cold plunge use

c)     Dizziness, disorientation, fainting, syncope, or loss of consciousness

d)    Thermal burns from contact with hot surfaces, steam, rocks, or heated elements

e)    Cold shock response, including involuntary gasping, hyperventilation, and panic

f)      Slip, trip, and fall injuries on wet, icy, or uneven surfaces

g)    Aggravation, exacerbation, or worsening of pre-existing medical conditions

h)    Cardiovascular events including heart attack, stroke, arrhythmia, cardiac arrest, or sudden cardiac death

i)      Respiratory distress, difficulty breathing, or respiratory failure

j)      Drowning or near-drowning in cold plunge facilities

k)     Electrolyte imbalances and related complications

l)      Allergic reactions to materials, cleaning agents, or environmental factors

m)   Exposure to bacteria, viruses, fungi, or other pathogens

n)    Injuries from equipment malfunction or failure

o)    Injuries caused by other users or third parties

p)    Environmental hazards including weather conditions, wildlife, and natural phenomena

q)    Permanent disability, paralysis, or death

2.2 YOU EXPRESSLY AND VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH THE USE OF THE SERVICES, WHETHER KNOWN OR UNKNOWN, FORESEEABLE OR UNFORESEEABLE, ARISING FROM YOUR OWN ACTIONS, THE ACTIONS OF OTHERS, THE CONDITION OF THE PREMISES, OR ANY OTHER CAUSE WHATSOEVER.

3. VOLUNTARY ASSUMPTION OF RISK

3.1 I, the undersigned, on behalf of myself, my spouse, my heirs, my estate, my executors, administrators, personal representatives, and assigns, hereby voluntarily and knowingly assume all risks of injury, illness, disability, or death that may result from my participation in or use of the Services.

3.2 I recognize and acknowledge that the risk of injury, including severe, permanent, or fatal injury, from the activities involved in using the Services is significant and cannot be eliminated. I understand that severe injuries including but not limited to permanent paralysis, traumatic brain injury, and death can occur in activities involving extreme temperatures, water immersion, height, motion, breath work, cold exposure, and heat exposure.

3.3 I acknowledge that potential injuries include but are not limited to: heart failure, cardiac arrest, stroke, loss of consciousness, seizures, hypothermia, hyperthermia, drowning, and traumatic injuries. These may be caused by extreme cold, extreme heat, ice baths, weather conditions, physical condition of participants, equipment condition, the actions of other participants, or other foreseeable and unforeseeable factors.

3.4 I KNOWINGLY AND FREELY ASSUME ALL SUCH RISKS, BOTH KNOWN AND UNKNOWN, EVEN IF ARISING FROM THE NEGLIGENCE, GROSS NEGLIGENCE, RECKLESSNESS, OR WILLFUL MISCONDUCT OF UTAH LAKE SAUNA OR OTHERS INCLUDING BUT NOT LIMITED TO EMPLOYEES, CONTRACTORS, VOLUNTEERS, AND TRAINERS, AND I ASSUME FULL RESPONSIBILITY FOR MY PARTICIPATION.

4. HEALTH REPRESENTATIONS AND MEDICAL CONDITIONS

4.1 You represent and warrant that you have consulted with a licensed physician and have been medically cleared to participate in sauna use, cold plunge therapy, contrast therapy, and related activities. You understand and acknowledge that Utah Lake Sauna is not qualified to provide medical advice and does not do so.

4.2 You agree not to use the Services if you have, or suspect you may have, any of the following conditions, unless you have received explicit written clearance from a licensed physician:

r)      Pregnancy or suspected pregnancy

s)     Any cardiovascular condition including hypertension, hypotension, heart disease, coronary artery disease, heart murmur, history of heart attack, angina, arrhythmia, pacemaker or implanted defibrillator, or history of stroke

t)      Respiratory conditions including asthma, COPD, emphysema, or any breathing disorder

u)    Epilepsy, seizure disorders, or history of seizures

v)     Diabetes or blood sugar regulation disorders

w)   Recent surgery (within 6 months) or open wounds

x)     Skin conditions, infections, or sensitivities

y)     History of heat-related illness or cold-related injury

z)     Raynaud's disease or other circulatory disorders

aa) Multiple sclerosis or other neurological conditions

bb) Kidney disease or impaired kidney function

cc)  Fever, active infection, or contagious illness

dd) Mental health conditions that may impair judgment

ee) Any condition that may be aggravated by heat exposure, cold exposure, or rapid temperature changes

ff)    Use of any prescription medication that may affect heat or cold tolerance, blood pressure, or consciousness

4.3 You agree to immediately cease use of the Services and seek appropriate medical attention if you experience any unusual symptoms, discomfort, pain, dizziness, nausea, difficulty breathing, chest pain, or any other concerning symptoms during or after use of the Services.

4.4 You acknowledge that you are solely responsible for monitoring your own physical condition and making decisions about your continued participation in the Services.

5. PROPER USE OF SERVICES AND FACILITY RULES

5.1 You agree to use the Services in strict accordance with all posted rules, verbal instructions, written instructions, and the following mandatory guidelines:

gg) Limit individual sauna sessions to a maximum of 20 minutes unless otherwise instructed; we recommend 5-15 minute sessions

hh) Drink plenty of water before, during, and after sauna and cold plunge use

ii)     Do not use alcohol, cannabis, or any intoxicating substances before or during use of the Services

jj)     Do not sleep or lie down in the sauna

kk)  Exit the sauna immediately if you feel dizzy, nauseous, faint, or uncomfortable in any way

ll)     Do not touch heating elements or pour water on rocks unless explicitly permitted by posted instructions

mm)                Use a towel on sauna benches at all times

nn) Do not wear street clothes or outdoor shoes in the sauna

oo) Do not use any oils, lotions, essential oils, or other substances in the sauna without prior written approval

pp) Wash feet in the provided bucket or footbath before entering the sauna

qq) Gently pour water onto the sauna stove; drizzle slowly, never dump water

rr)    Only pour the provided 'sauna water' on hot rocks; never pour any other liquid

ss)  Complete all changing and preparation within your booked time slot

tt)    Enter the cold plunge slowly and carefully; never jump or dive

uu) Limit cold plunge sessions to 3 minutes maximum

vv)  Never submerge your head in the cold plunge

ww)                 Exit the cold plunge immediately if you experience excessive shivering, numbness, or difficulty breathing

6. CONDUCT, ETIQUETTE, AND PROHIBITED ACTIVITIES

6.1 All visitors must respect all facility rules and other users. Visitors who violate rules will be removed immediately without refund or compensation.

6.2 The following conduct is strictly prohibited and will result in immediate removal and permanent ban:

xx)  Verbal or physical abuse, harassment, or intimidation of any kind

yy)  Any sexual conduct, sexual activity, or intimate physical contact

zz)  Nudity (appropriate swimwear required at all times)

aaa)                Use or possession of alcohol, cannabis, or illegal drugs on the premises

bbb)                Arriving intoxicated or under the influence of any substance

ccc)                 Smoking, vaping, or use of tobacco products on the premises

ddd)                Photography or video recording without explicit written consent

eee)                Disruptive behavior, excessive noise, or behavior that interferes with other users' experience

fff)   Damage or vandalism to any property

ggg)                Littering or improper disposal of trash

6.3 Utah Lake Sauna reserves the right to refuse admission to any person and to remove any person from the premises at any time for any reason, with no refund provided.

6.4 Children under the age of 16 are not permitted to use the sauna or cold plunge facilities under any circumstances.

6.5 All hanging jewelry must be removed before entering the sauna to prevent burns.

6.6 If you are making a booking on behalf of a group, you are solely responsible for ensuring that all members of your group are aware of and agree to these terms and conditions. You will be held liable for any violations by members of your group.

6.7 We reserve the right to report any illegal activity to Utah State Parks management and/or law enforcement, and to pursue all available legal remedies.

7. ACCESS RESPONSIBILITY AND LOCKOUT POLICY

7.1 You are solely and exclusively responsible for:

hhh)                Maintaining, safeguarding, and not sharing your access code

iii)    Entering and exiting the facilities within your Allotted Time

jjj)    Ensuring proper operation of the access system during your session

kkk)                 Having a charged mobile device capable of receiving access codes

7.2 LOCKOUT LIABILITY WAIVER: Utah Lake Sauna bears absolutely no responsibility or liability whatsoever if you are locked out of the facilities for any reason, including but not limited to:

i)      Forgetting, misplacing, or incorrectly entering your access code

ii)     Technical issues with your phone, device, or mobile carrier

iii)    Poor cellular service, internet connectivity issues, or network outages

iv)   Power outages affecting any systems

v)     Equipment malfunction of any kind

vi)   Weather conditions

vii)  Any other circumstance resulting in inability to access the facilities

7.3 NO REFUNDS FOR LOCKOUTS: No refunds, credits, store credit, rescheduling, or compensation of any kind will be provided for any session time lost due to lockout. This policy applies regardless of the cause of the lockout, the duration of the lockout, any consequential losses or damages, weather conditions, technical issues, or any other circumstances whatsoever.

7.4 In case of lockout, you agree to: (a) not attempt to force entry; (b) not damage or tamper with any equipment, locks, doors, or structures; (c) contact emergency services only in cases of genuine medical or safety emergency; and (d) accept that response time for non-emergency lockout assistance is not guaranteed and may take hours or may not be available at all.

8. PROPERTY DAMAGE AND FINANCIAL LIABILITY

8.1 You assume full financial responsibility for any and all damage to Utah Lake Sauna property, including but not limited to: the sauna structure and building, heating equipment and controls, electronic systems and sensors, door and locking mechanisms, changing facilities and fixtures, cold plunge equipment and containers, surrounding grounds and landscaping, parking areas and walkways, and any other Utah Lake Sauna property or equipment.

8.2 Your liability extends to damage caused by: your direct actions or negligence, members of your party or group, any unauthorized guests you allow access, attempts to modify, tamper with, or override facility systems, and improper use of equipment or facilities.

8.3 AUTHORIZATION TO CHARGE: You explicitly and irrevocably authorize Utah Lake Sauna to charge your payment method on file for: all repair or replacement costs at current market rates, lost revenue during repair periods, reasonable administrative fees related to damage assessment and resolution, attorney's fees and collection costs, and any other damages permitted by law.

8.4 You further agree that Utah Lake Sauna may pursue legal action to recover damages exceeding your card limits, including but not limited to filing suit in Utah courts.

8.5 Utah Lake Sauna's documentation of damage, including but not limited to security camera footage, photographs, staff reports, contractor assessments, and any other evidence, shall be considered accurate and binding for purposes of determining liability and damages.

9. SESSION DURATION AND OVERSTAY POLICY

9.1 Your Allotted Time is the exact duration specified during booking and includes ALL time for: arriving at the facility, preparing to use the sauna, using the sauna and cold plunge, showering and changing, gathering your belongings, and vacating the premises completely.

9.2 OVERSTAY CHARGES: Any presence on the premises beyond your Allotted Time without prior written approval constitutes an "Overstay." Each Overstay automatically triggers the following:

lll)    Charges for additional session(s) at the then-current standard rate

mmm)            An additional overstay penalty fee of $50 per occurrence

nnn)                You explicitly authorize Utah Lake Sauna to charge your payment method on file for all such charges

9.3 Payment for Overstay time does not guarantee continued exclusive use of the facilities. Utah Lake Sauna reserves the right to limit access during Overstay periods, reassign the space to other customers, and take any necessary actions to maintain facility scheduling.

9.4 Utah Lake Sauna may utilize electronic access logs, security cameras, timestamps, staff observations, and other monitoring methods to track session usage and enforce this policy. Records from any monitoring method shall be considered accurate and binding.

9.5 Repeated or excessive Overstays may result in suspension or permanent termination of booking privileges, additional financial penalties, and legal action.

10. ENVIRONMENTAL HAZARDS, SLIP/FALL RISKS, AND WEATHER CONDITIONS

10.1 By using the Services, you acknowledge and expressly assume all risks associated with environmental and facility-related hazards, including but not limited to:

ooo)                Slippery or icy surfaces resulting from water runoff, condensation, precipitation, or weather conditions

ppp)                Ice formation caused by water runoff from sauna operations, bucket showers, cold plunge overflow, and other water-related amenities

qqq)                Wet, uneven, muddy, or otherwise hazardous walking surfaces

rrr)  Snow, ice, rain, wind, extreme temperatures, and all other weather conditions

sss)                 Wildlife, insects, and natural fauna present in the state park environment

ttt)   Natural vegetation, uneven terrain, and outdoor conditions typical of state park settings

uuu)                Limited lighting conditions, especially during evening or nighttime hours

10.2 You understand and agree that despite reasonable maintenance efforts, environmental factors such as freezing temperatures can cause ice to form on surfaces around the sauna at any time. You voluntarily assume all risks of slipping, falling, or other injuries that may result from these conditions.

10.3 It is YOUR sole responsibility to: wear appropriate footwear for weather conditions, exercise extreme caution when moving on or around the premises, assess conditions before proceeding, and choose not to proceed if conditions appear unsafe.

10.4 Utah Lake Sauna makes no representations or warranties regarding the safety of exterior surfaces, weather conditions, or environmental factors, and assumes no duty to warn of obvious or naturally occurring hazards.

11. CANCELLATION, REFUND, AND BOOKING POLICY

11.1 ALL BOOKINGS ARE FINAL SALE AND NON-REFUNDABLE.

11.2 Cancellations and modifications may only be made more than twelve (12) hours prior to the scheduled appointment time. Cancellation or modification requests made less than 12 hours before the scheduled appointment are strictly prohibited and no refund or credit will be provided.

11.3 No refunds, credits, rescheduling, or compensation will be provided for:

vvv)                 Cancellations made less than 12 hours before the appointment

www)             No-shows or failure to arrive

xxx)                 Weather conditions of any kind

yyy)                 Personal emergencies, illness, or schedule conflicts

zzz)                 Travel issues, traffic, or transportation problems

aaaa)             Partial use of booked time

bbbb)             Dissatisfaction with service for any reason

cccc)              Technical issues or lockouts

dddd)             Force majeure events

11.4 Bookings cannot be transferred to another person, rescheduled to a different time (within 12 hours), converted to credit, exchanged for other services, or deferred to a future date.

11.5 It is your sole responsibility to verify your schedule before booking, ensure your ability to attend, plan for contingencies, arrive on time, and complete your session within the Allotted Time.

11.6 BY MAKING A BOOKING, YOU EXPLICITLY WAIVE ANY RIGHT TO DISPUTE CHARGES WITH YOUR PAYMENT PROVIDER OR SEEK CHARGEBACKS. Fraudulent chargebacks will be disputed and may result in collection action, legal action, and permanent ban from all Utah Lake Sauna and State Park Saunas LLC facilities.

12. COMPREHENSIVE RELEASE OF LIABILITY AND INDEMNIFICATION

12.1 RELEASE AND WAIVER: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE, WAIVE, DISCHARGE, COVENANT NOT TO SUE, AND HOLD HARMLESS UTAH LAKE SAUNA, STATE PARK SAUNAS LLC, AND ALL OF THEIR RESPECTIVE OWNERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, REPRESENTATIVES, AFFILIATES, SUBSIDIARIES, PARENT COMPANIES, SUCCESSORS, ASSIGNS, INSURERS, AND ANY PARTIES ASSOCIATED WITH THE PROVISION OF THE SERVICES (COLLECTIVELY, THE "RELEASED PARTIES") FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, ACTIONS, CAUSES OF ACTION, SUITS, COSTS, EXPENSES, ATTORNEY'S FEES, AND DAMAGES OF WHATEVER KIND OR NATURE, WHETHER KNOWN OR UNKNOWN, FORESEEN OR UNFORESEEN, ARISING OUT OF OR RELATED TO:

eeee)             Any loss, damage, injury, illness, disability, or death that may be sustained by you

ffff) Any damage to property belonging to you

gggg)             Your use of the Services or presence on the premises

hhhh)             The negligence, gross negligence, recklessness, or willful misconduct of the Released Parties

iiii)   The acts or omissions of third parties, other users, or any person

jjjj)   Equipment failure, malfunction, or defect

kkkk)              Environmental conditions, weather, or premises conditions

llll)   Any other cause whatsoever, whether arising before, during, or after use of the Services

12.2 INDEMNIFICATION: You agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, causes of action, damages, judgments, costs, expenses, penalties, fines, attorney's fees, and other litigation costs that may in any way arise from: your use of the Services, your presence on the premises, your breach of this Agreement, your violation of any law or regulation, or your actions or omissions that cause harm to any person or property.

12.3 This release and indemnification applies to claims arising from the inherent risks of the activities, the negligence of the Released Parties, defective equipment, inadequate instruction or supervision, the actions of other participants or third parties, and any other cause except for the sole gross negligence or intentional misconduct of Utah Lake Sauna acting in bad faith.

13. UNAUTHORIZED ACCESS, TAILGATING, AND THEFT OF SERVICES

13.1 Each individual utilizing the Services must make their own booking and payment in advance. A reservation is valid only for the specific individual(s) whose name(s) appear on the booking confirmation for the number of people booked.

13.2 "Tailgating" or "piggybacking" - allowing any unauthorized individual to enter the facilities without proper payment or reservation - is strictly prohibited and constitutes theft of services.

13.3 PENALTIES FOR UNAUTHORIZED GUESTS: If you arrive with or allow unauthorized guests, you expressly authorize Utah Lake Sauna to charge your payment method on file for the unpaid session(s) plus an additional theft-of-services penalty as follows:

mmmm)       1 unauthorized guest: Session price ($36) + $50 penalty = $86 minimum

nnnn)             2 unauthorized guests: Session price for both + $100 penalty

oooo)             3 unauthorized guests: Session price for all three + $200 penalty

pppp)             4 unauthorized guests: Session price for all four + $300 penalty

qqqq)             5 or more unauthorized guests: Session price for all + $500 penalty minimum, with additional penalties at Company's discretion

13.4 Additional remedies: Utah Lake Sauna may also suspend or terminate your booking privileges, permanently ban you from all facilities, report the violation to Utah State Parks management and/or law enforcement, and pursue civil remedies to recover all damages, administrative costs, and attorney's fees.

13.5 Unauthorized access may be detected and documented by electronic access logs, security camera footage, staff, park personnel, or other reasonable methods. You expressly agree that such documentation shall be deemed accurate and binding for determining liability.

13.6 By booking or using the Services, you acknowledge that you are financially responsible for all individuals who gain access under your reservation, whether intentionally or negligently.

14. PHOTO, VIDEO, AND MEDIA RELEASE

14.1 You grant Utah Lake Sauna and State Park Saunas LLC the irrevocable, perpetual, worldwide, royalty-free right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display, and perform your likeness, image, voice, statements, and appearance as captured in any photos, videos, audio recordings, or other media taken while using the Services or present on the premises.

14.2 You understand and agree that these materials may be used for any legitimate business purpose, including but not limited to marketing, advertising, social media, promotional materials, website content, press releases, and any other commercial or non-commercial purpose, without compensation, credit, or further permission.

14.3 You waive any right to inspect or approve any finished product or the use of any materials.

14.4 You release Utah Lake Sauna from any claims arising from the use of your image or likeness.

15. PERSONAL PROPERTY AND BELONGINGS

15.1 Utah Lake Sauna is not responsible for any loss, theft, damage, or destruction of your personal property while using the Services or present on the premises, regardless of cause.

15.2 You are solely responsible for securing and safeguarding your belongings at all times. We strongly recommend leaving valuables at home or locked in your vehicle.

15.3 Any items left behind will be discarded after 24 hours. Utah Lake Sauna has no obligation to store, protect, or return lost items.

16. DISCLAIMER OF WARRANTIES

16.1 THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY.

16.2 UTAH LAKE SAUNA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, SAFETY, QUALITY, CONDITION, AND SUITABILITY.

16.3 Utah Lake Sauna does not warrant that the Services will meet your expectations, that the facilities will be available at any particular time, that defects will be corrected, or that the premises or equipment are free from hazards.

17. LIMITATION OF LIABILITY

17.1 IN NO EVENT SHALL UTAH LAKE SAUNA OR ANY RELEASED PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:

tttt) Lost profits, income, or business opportunities

uuuu)             Emotional distress, pain and suffering

vvvv)              Data loss or corruption

wwww)          Any other damages of any nature

17.2 This limitation applies whether based on warranty, contract, tort, strict liability, negligence, or any other legal theory, even if Utah Lake Sauna has been advised of the possibility of such damages.

17.3 TO THE EXTENT ANY LIABILITY CANNOT BE DISCLAIMED UNDER APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF UTAH LAKE SAUNA SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC SESSION GIVING RISE TO THE CLAIM.

18. DISPUTE RESOLUTION AND ARBITRATION

18.1 MANDATORY ARBITRATION: Any dispute, claim, or controversy arising out of or relating to this Agreement or the Services shall be resolved exclusively by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

18.2 The arbitration shall take place in Salt Lake County, Utah, before a single arbitrator. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

18.3 CLASS ACTION WAIVER: YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

18.4 Each party shall bear its own costs of arbitration, except that the prevailing party shall be entitled to recover reasonable attorney's fees and costs from the non-prevailing party.

18.5 Notwithstanding the above, Utah Lake Sauna may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.

19. GOVERNING LAW AND JURISDICTION

19.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles.

19.2 For any matters not subject to arbitration, you consent and submit to the exclusive personal jurisdiction of the state and federal courts located in Salt Lake County, Utah, and waive any objection based on inconvenient forum.

19.3 You agree that any cause of action arising out of or related to this Agreement or the Services must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.

20. SEVERABILITY AND SURVIVAL

20.1 If any provision of this Agreement is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent to the maximum extent possible. The remaining provisions shall continue in full force and effect.

20.2 The provisions of this Agreement relating to assumption of risk, release of liability, indemnification, limitation of liability, dispute resolution, and governing law shall survive termination of this Agreement and your use of the Services.

21. ENTIRE AGREEMENT AND MODIFICATIONS

21.1 This Agreement constitutes the entire agreement between you and Utah Lake Sauna regarding the use of the Services and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.

21.2 Utah Lake Sauna reserves the right to modify this Agreement at any time by posting the revised terms on its website or booking platform. Your continued use of the Services after any such modification constitutes your acceptance of the modified Agreement.

21.3 No waiver of any provision of this Agreement shall be effective unless in writing and signed by an authorized representative of Utah Lake Sauna. No failure or delay in exercising any right shall operate as a waiver of such right.

22. ARM'S LENGTH AGREEMENT AND CONSTRUCTION

22.1 This Agreement and each of its terms are the product of an arm's length negotiation between the parties. In the event any ambiguity is found in the interpretation of this Agreement, the parties explicitly reject the application of any legal or equitable rule of interpretation that would lead to a construction either "for" or "against" a particular party based upon their status as the drafter.

22.2 The headings in this Agreement are for convenience only and shall not affect interpretation.

24. FINAL ACKNOWLEDGMENT

BY CLICKING "I AGREE," MAKING A BOOKING, OR USING THE SERVICES, YOU ACKNOWLEDGE AND AGREE THAT:

1.     You have carefully read and fully understand this entire Agreement.

2.     You are at least 18 years of age and legally competent to enter into this Agreement.

3.     You voluntarily agree to all of its terms and conditions.

4.     You understand that you are giving up substantial legal rights, including the right to sue and the right to a jury trial.

5.     You intend this Agreement to be a complete and unconditional release of all liability to the greatest extent allowed by law.

6.     You have had the opportunity to consult with legal counsel before agreeing to these terms.

7.     You agree to be legally bound by this Agreement.
